Terms and Conditions of Service


1. Acceptance of Terms:
By utilizing the services provided by VSSA, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.


2. Services Provided:
The Company provides telephone answering and message management services, including but not limited to:

  • Answering incoming calls according to Client-specified scripts and instructions

  • Taking and relaying messages via email, SMS, or other agreed-upon methods

  • Scheduling appointments or providing basic information as directed by the Client

  • Forwarding calls to designated numbers

  • Providing access to the VSSA Client Portal


3. Client Responsibilities:

  • Provide accurate and up-to-date call scripts, instructions, and contact info

  • Notify the Company of any updates to procedures or contact information

  • Pay all invoices on time and disclose sensitive info as needed

  • Be responsible for message content and any actions taken from it


4. Company Responsibilities:

  • Provide services professionally and in a timely manner

  • Deliver messages accurately and promptly

  • Keep Client information confidential (unless required by law)

  • Maintain call logs and retain recordings for 30 days, messages for 90 days


5. Payment and Billing:

  • Fees are based on your selected plan, billed every 28 days

  • Payment is due within 15 days of invoice

  • Late payments may incur a 5% penalty

  • Services may be suspended or terminated for non-payment


6. Limitation of Liability:

  • No liability for indirect or consequential damages

  • Direct liability is limited to the amount paid in the 30 days before the claim

  • Not responsible for caller content, actions, or external technical issues


7. Confidentiality:

  • Client data is confidential and only disclosed if legally required

  • Employees and contractors sign confidentiality agreements


8. Termination of Service:

  • Either party may terminate with 30 days’ notice

  • Immediate termination may occur for non-payment or policy breach

  • Client must settle all balances upon termination


9. Modifications:

  • Terms may be updated at any time with notice

  • Continued use of services indicates acceptance of new terms
     

10. Governing Law:
These terms are governed by the laws of the State of North Carolina.


11. Entire Agreement:
This document represents the full agreement between VSSA and the Client.
